1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Samelogic's websites, web applications, Chrome extension, APIs, embedded clients, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Services.

2. Definitions

  • "Customer" means the individual or entity that registers for or uses the Services.
  • "End User" means any individual who interacts with a Customer's digital properties or content where the Services are deployed or used.
  • "Customer Content" means data submitted, captured, or processed through the Services, including element captures (selectors, raw HTML, attributes, computed styles, dimensions, metadata), screenshots, bug reports, notes, comments, shares, step replays and recordings, survey responses, web scraping outputs, and API payloads.
  • "Documentation" means user guides, technical documentation, and help content we provide for the Services.
  • "Order Form" means an ordering page, plan selection, statement of work, or other ordering document that references these Terms.
  • "Samelogic IP" means the Services, software, algorithms, interfaces, trademarks, and Documentation, other than Customer Content.

3. The Services

The Services provide Context Engineering Made Precise for capturing and analyzing the Universal Element Context(TM) across digital products, including element capture, stability scoring, collaboration workflows, step replay recordings, analytics, microsurveys, web scraping tools, and API access. We may update, add, or remove features from time to time. We will make reasonable efforts to provide notice of material changes that reduce core functionality.

Certain features may be labeled as beta, preview, or experimental. These features are provided "as is" and may be modified or discontinued at any time.

4. Eligibility, Accounts, and Access

You must be at least 18 years old to create an account. You agree to provide accurate and complete information and to keep it current. You are responsible for all activity that occurs under your account and for safeguarding credentials, API keys, and tokens. If you administer accounts for your organization, you are responsible for managing access and permissions.

5. Customer Content and Data Rights

As between Samelogic and Customer, Customer retains ownership of Customer Content. Customer grants Samelogic a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Content as necessary to provide, secure, and improve the Services, including to generate stability scores, previews, reports, test artifacts, and collaboration outputs.

We may create aggregated or de-identified data derived from Customer Content and Service usage for analytics, benchmarking, and product improvement. Such data will not identify Customer or End Users.

If you share Customer Content with other users or make content public, you are responsible for that sharing and for any instructions you provide to recipients.

6. Customer Responsibilities and Acceptable Use

  • You will use the Services only with websites, applications, and data you are authorized to access and process.
  • You are responsible for providing required notices and obtaining End User consents under applicable law.
  • You will not reverse engineer, decompile, or attempt to extract source code or underlying algorithms from the Services, except to the extent permitted by law.
  • You will not resell, sublicense, or provide the Services to third parties except as expressly permitted in an Order Form.
  • You will not bypass usage limits, security controls, or rate limits, or interfere with the integrity or performance of the Services.
  • You will not use the Services to transmit malware, attempt unauthorized access, or violate export control laws.
  • You are responsible for configuring capture settings to avoid collecting sensitive data. Step replay recordings mask input values by default, but visible page content and metadata may still be captured.

7. Privacy, Security, and Data Processing

We implement technical and organizational measures designed to protect Customer Content. Details about our data practices are described in our Privacy Policy. When we process Customer Content that includes personal data, Customer is the controller (or business) and Samelogic is the processor (or service provider). Customer is responsible for complying with applicable data protection laws and for providing appropriate notices to End Users.

8. Third-Party Services and Integrations

The Services may integrate with or rely on third-party services such as authentication providers, payment processors, analytics tools, and customer support platforms. Your use of those services is subject to their terms and privacy policies, and we are not responsible for third-party services.

9. Fees, Billing, and Taxes

Fees, usage limits, and plan features are described in your Order Form or plan selection. Subscriptions automatically renew unless canceled before the end of the current term. You authorize us and our payment processor (Stripe) to charge your payment method for applicable fees. Fees are non-refundable except as required by law or explicitly stated in an Order Form. You are responsible for applicable taxes.

10. Suspension and Termination

We may suspend or limit access to the Services if you breach these Terms, fail to pay applicable fees, or if your use presents a security risk or legal exposure. You may terminate by canceling your subscription. Upon termination, your right to use the Services ends. We may delete Customer Content after a reasonable period, so you should export any data you need prior to termination.

11. Confidentiality

Each party may receive confidential information from the other party. The receiving party will protect confidential information using reasonable care and will use it only to perform obligations under these Terms. Confidential information does not include information that is publicly available through no fault of the receiving party, independently developed, or lawfully received from a third party.

12. Intellectual Property; Feedback

Samelogic retains all right, title, and interest in the Services, Samelogic IP, and any improvements. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. If you provide feedback, suggestions, or ideas, you grant Samelogic a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without obligation.

13. Warranties and Disclaimers

We warrant that the Services will perform materially in accordance with the Documentation. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAMELOGIC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY CUSTOMER FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

15. Indemnification

You will defend, indemnify, and hold harmless Samelogic and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising from (a) Customer Content, (b) your use of the Services in violation of these Terms or applicable law, or (c) your violation of third-party rights.

16. Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Services will be resolved through binding arbitration in San Francisco, California under the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. You and Samelogic waive any right to participate in a class or representative action.

17. Miscellaneous

You may not assign these Terms without Samelogic's prior written consent, except to an affiliate or in connection with a merger or sale of substantially all assets. Samelogic may assign these Terms without restriction. Neither party is liable for delays or failures caused by events beyond reasonable control. Notices may be provided by email or through the Services. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between the parties regarding the Services.
